Terms and Conditions of Sale and Use

These terms govern use of sphelmets.it and the sale of products offered by S.P. International S.R.L., Via Giuseppe di Vittorio 33, 50145 Florence (FI), Italy, tax code and VAT number 04594180483, REA FI-463940, certified email spinternationalsrl@cert.cna.it, email info@spinternational.it (the “Seller”).

1. Scope

These terms apply to purchases made through the website. A “consumer” is an individual who purchases for purposes outside their trade, business, craft or profession. Customers purchasing for professional purposes are subject to the relevant B2B rules.

2. Customer accounts and eligibility

Creating an account is not mandatory unless checkout expressly requires it for a specific service. Customer accounts are optional and can be used to view orders and related information.

By placing an order, the customer confirms that they have the legal capacity to enter into the contract and that the information provided is accurate and complete.

3. Products and information

Essential features, materials, sizes, approvals, compatibility and other relevant information are shown on the relevant product pages. Images are illustrative and colours or details may appear differently depending on the device used.

References to approvals or certifications apply only to models for which they are expressly stated on the product page.

4. Availability

Availability shown on the website may change. If a product becomes unavailable after an order is placed, the customer will be informed without undue delay and may, where possible, choose an alternative or receive a refund for the unavailable product.

5. Prices, taxes and charges

Prices are shown in the currency displayed on the website and, for the Italian market, include applicable taxes where required. Shipping charges, any supplements and the total amount due are shown at checkout before the order is submitted.

For shipments outside the EU, customs duties, import taxes and clearance charges may apply as described in the Shipping Policy.

6. Orders and formation of the contract

To purchase, the customer selects products, enters the required information and completes checkout. Before submitting the order, the customer can review and correct the information entered.

Receipt of the order is confirmed to the email address provided. The contract is formed in accordance with the checkout process and confirmation communications sent to the customer, subject to any cancellation or refusal permitted by law, for example due to unavailability, manifest error, suspected fraud or inability to fulfil the order.

7. Payments

Available payment methods are shown at checkout. Payments may be handled by third-party providers, including Shopify Payments or other gateways and, where available, Klarna. Use of those services may also be subject to the provider's own terms.

8. Shipping and delivery

Destinations, costs, delivery methods, tracking, store pickup and any customs charges are governed by the Shipping Policy, which forms part of these terms.

For consumer purchases, the risk of loss or damage passes to the consumer when the consumer, or a third party designated by the consumer other than the carrier, takes physical possession of the goods, subject to the exceptions provided by law.

9. Withdrawal, returns and size exchanges

Consumers purchasing at a distance have a statutory right of withdrawal under the conditions and within the periods provided by law. Procedures, deadlines, return costs, refunds and the commercial size-exchange service are described in the Returns, Withdrawal and Refund Policy, which forms part of these terms.

10. Statutory conformity guarantee

For consumers, goods are covered by the statutory conformity guarantee under the Italian Consumer Code. For new goods, the Seller is responsible for lack of conformity existing at delivery that becomes apparent within the statutory period, normally two years from delivery.

The consumer must contact the Seller to enforce the statutory guarantee. Any manufacturer's commercial warranty is additional and does not replace or restrict the statutory guarantee owed by the Seller.

Where a lack of conformity exists, the consumer is entitled to the remedies provided by applicable law, including, where the conditions are met, repair or replacement and, in the cases provided by law, a price reduction or termination of the contract. Remedies are provided without cost to the consumer within the limits of the law.

11. Manufacturer commercial warranties

Some products may benefit from a manufacturer's commercial warranty. Its duration, scope and conditions are those stated by the manufacturer. It is additional to statutory rights and does not affect them.

12. Website use and intellectual property

Users must not use the website unlawfully, attempt to compromise its security or operation, abuse automated systems, or infringe intellectual-property rights.

Trademarks, texts, photographs, graphics, logos and other content belong to their respective owners and are protected by applicable law.

13. Liability

Nothing in these terms excludes or limits liability or rights that cannot legally be excluded or limited, including mandatory consumer rights.

The Seller is not liable for disruption caused by events outside its reasonable control, subject to applicable law and obligations already accrued.

14. Personal data

Personal-data processing is governed by the Privacy Policy and the information on cookies and tracking technologies available on the website.

16. Governing law and disputes

These terms are governed by Italian law. If the customer is a consumer resident in another country, any mandatory protections granted by the law applicable to that consumer remain unaffected.

Consumer disputes are subject to the mandatory rules on jurisdiction and venue, including, where applicable, the courts of the consumer's place of residence or domicile.

For customers who are not consumers, unless a mandatory rule provides otherwise, the courts of Florence have exclusive jurisdiction.

Where available and applicable, consumers may also use alternative dispute resolution (ADR) bodies provided by law. The former EU ODR platform has been discontinued and is no longer an operational channel.

17. Changes

The terms applicable to each order are those made available when the order is placed. Later changes do not apply retroactively to contracts already concluded unless required by law.
